THE PROBUS CLUB OF LUDLOW
RULES
(as amended by the Annual General Meetings on13th January 1981, 8th January 1991, 13th January 1998, 9th January 2007 and 6th January 2009 and an EGM on 2nd April 2019)
1. TITLE The name of the Club is "The Probus Club of Ludlow”.
2. AIMS AND OBJECTS The main concept of the Club is to provide the opportunity for retired professional and business men and women to meet together from time to time on a social basis for conversation and discussion; to be addressed by a speaker from the membership or elsewhere and to help one another as friends. Other social activities may be added if members so desire. The Club is non-political and non-sectarian.
3. MEMBERSHIP The qualifications for membership
a) A retired professional or business man or woman whose age at the date of his application is, except in a special case, at least 60 years. A special case may include retirement of the applicant before age 60 due to organisational changes in his employing body or other circumstances beyond his control. A member shall be a resident of Ludlow or the surrounding district.
b) Any two members may sign a proposal for a new member but in so doing the proposer and seconder should remember that each has a responsibility to existing members of the Club for the suitability for membership of the applicant.
c) In a case where an applicant, because he/she is not well known to any existing members, cannot obtain the signature of a proposer and seconder, the Committee may, at their discretion, invite the applicant to attend Club meetings, as their guest, over a one-month familiarisation period. Thereafter, unless withdrawn, the application shall be considered and dealt with in all respects as though it had been signed by members. The Committee may, if they see fit, extend the familiarisation period if the applicant has been unable to attend all the relevant Club meetings due to illness or other valid reasons.
d) Such proposals for admission and all matters relating to membership shall be submitted to the Committee who shall decide thereon unless they refer any such matter to the Members under Rule 5.
e) Associate Membership:
An Associate Member shall be a previous full member who, for any reason considered acceptable to the Committee, shall no longer be able to attend meetings or events on a regular basis. The Committee and members shall desire and agree that the member should continue to be associated with the Club and receive information about it from time to time. He/she shall still be able to attend occasional meetings or events. He shall not pay any subscription.
f) Honorary Membership
The Committee may also propose, for approval by the majority of the members at a regular Club meeting, that
a member recognised as having high status within their profession and who has demonstrated exceptional
attributes in terms of service to the Club, may be appointed as an Honorary Member.
Rules 3,5,6 and 7 shall not apply to Associate and Honorary Members insofar as those Rules refer to residential qualification, voting rights, annual subscription and the attendance requirement. Associate Members shall not be counted in the total membership.
4. OFFICERS AND COMMITTEE The officers of the Club, who will be responsible for the general running of the Club, will consist of a Chairman, Vice Chairman, Hon Secretary, Hon Treasurer and as many committee members as may be required for special duties. The Chairman and Vice Chairman shall be elected annually at a General Meeting held in January. Each retiring Chairman shall become an ex officio member of the Committee for one year following his year of office as Chairman. Other officers and committee members may serve for longer periods but shall be elected annually.
Where a member of committee resigns, moves out of the district, dies or can no longer perform his/her duties due to any cause to the satisfaction of the Committee, the committee shall be empowered to co-opt a replacement until the next Annual General Meeting at which the co-opted member may be proposed for full election, providing the Committee and the member himself agree.
5. DECISIONS OF MEMBERS All matters of Club policy, annual subscriptions or matters referred by the Committee concerning the admission or exclusion of members shall be decided by a full meeting of existing Members of the Club, a quorum being two thirds of total membership.
6. SUBSCRIPTIONS The annual subscription shall be due and payable at each Annual General Meeting. Any Member whose subscription is more than six months in arrears may be excluded from the Club.
Members may elect to pay a half-year subscription. Members who join during the latter half-year shall also only pay a half-year subscription
7. ATTENDANCE Any Member who fails to make a reasonable number of attendances at meetings may be required to resign from the Club, unless there are special circumstances. A reasonable number of attendances should normally be 60% of the regular meetings in any one-year.
8. ACCOUNTS The accounts of the Hon Treasurer, after audit by a Member appointed at the previous Annual General Meeting, will be submitted to the Annual General meeting held in January of each year.
The annual accounts shall be submitted for approval to an independent examiner who shall not be a member of the committee.
9. THE ANNUAL GENERAL MEETING shall be held in January. The Committee shall agree the agenda for these meetings in the previous November. The proposed date for the AGM shall be made known to all members by November and the full agenda distributed to all members at least two weeks before the date of the meeting.
10. AD-HOC COMMITTEE MEETINGS shall be held at the end of any normal meeting to deal with any matters which cannot wait for a full committee meeting. Decisions made at such ad-hoc meetings shall be subject to ratification at the next full committee meeting. At least four committee members shall be present at an ad-hoc meeting.
11. GUESTS Members may introduce guests provided that the same guest is not brought to more than three meetings in any year. The Committee may approve that special events shall be open to anyone invited by members, visiting members from other Probus Clubs and active Rotarians will be welcome to meetings of the Club.

- Typical reasons of becoming an Associate Member shall be ill health, other commitments or moving away.
- The situation of Associate Members shall be reconsidered annually at the November Committee Meeting.
